1. Definitions and Scope of the Contract
  • 1.1 – Nature of the Service: The contract concerns the rental of goods or a license for use; the Customer does not acquire ownership of the physical equipment or software.

  • 1.2 – Ius Variandi: Xlogic may change prices or specifications (improvements or limitations) with 30 days’ notice. The Customer is informed via the service information sheet or email.

  • 1.3 – Ownership: This agreement is the property of Xlogic; any reproduction, even partial, is prohibited.

2. Security, Conduct, and Prohibitions
  • 2.1 – Credentials: Access is via confidential keys. The Customer is responsible for any unauthorized use pursuant to Article 2051 of the Italian Civil Code. Xlogic may suspend the keys in the event of improper use.

  • 2.2 – Obligations and Prohibitions: Use for illicit purposes, spam (max 250 emails/hour), child pornography, racism, blasphemy or defamation is prohibited. Unauthorized gambling sites (Law 401/1989), dialers, pirated software, cracks, or viruses are prohibited.
  • 2.3 – Indemnity: The Client is the only one responsible for the data inserted and managed by Xlogic from any civil or criminal liability derived from the management of these data, data insertion from registration non-conformity or use of the domain.

3. Resources, Technical Limits, and Domains
  • 3.1 – System Resources: Use of more than 100% of resources for more than 60 minutes is prohibited. Prohibited: P2P/File Sharing, Game Servers, IRC Networks, Proxies, AutoSurf, Warez, and CronJobs <30 minutes. Cache is required in CMS.

  • 3.2 – Technical Parameters: The Customer must comply with the CPU, RAM, I/O, and iNode limits of the chosen plan. Email and DB are limited only by the total disk space of the package.

  • 3.3 – Domains: “Available domains” refers to hosting capacity, not free registration. For the domain only, DNS management is the responsibility of the customer.

  • 3.4 – VPS/Dedicated: Management and security are unmanaged (the responsibility of the customer), except for managed packages (without root access).

  • 3.5 – Responsibility for Domain Registration: The data of the domain owner must be inserted directly into the order phase. The Client is the only one responsible for the accuracy, veridicality and constant updating of such information (including Fiscal Code, VAT Partita and contact data). Xlogic acts exclusively as a technical intermediary and cannot be held responsible for interruptions, blockages, suspensions or revocation of the competent Registry (es. Registry .it) derived from erratic, incomplete or non-verifiable data of the Client.
4. Right of Withdrawal and “Satisfied or Refunded” Guarantee
  • 4.1 – Withdrawal: The right of withdrawal (14 days) is reserved for private consumers only.

  • 4.2 – 7-Day Guarantee: Valid for shared hosting only. Refunds for domains, renewals, add-ons, and professional services already performed (e.g., migrations, WordPress setup, or technical installations) are excluded.

5. SLA, Backup, and Responsibility
  • 5.1 – SLA and Reporting: Guaranteed uptime of 99.9%. Service irregularities must be reported within 24 hours. In the event of an SLA violation, compensation is limited to a pro-rata portion of the monthly fee.

  • 5.2 – Backup: JetBackup is a daily courtesy service; Xlogic also performs a weekly backup (both excluded on VPS/Dedicated). The Customer is solely responsible for maintaining a backup copy.

  • 5.3 – MAXIMUM DAMAGES: Except in the case of willful misconduct or gross negligence, Xlogic’s liability will never exceed the amount paid by the Customer in the last 12 months. Any liability for indirect damages or lost profits is excluded.

6. Payments and Renewals
  • 6.1 – Terms: Payment is due in advance. Renewals must be paid within 2 days of the expiration date.

  • 6.2 – Methods and Costs: For non-EU customers, only PayPal or card are accepted. Bank charges are the responsibility of the customer. PayPal refunds are subject to a withholding tax (€5 up to €100; €10 thereafter). Automatic renewal is managed via a secure token.

  • 6.3 – VPS/Dedicated Start Date: The service start date is set 5 days before purchase to allow for infrastructure setup time.

7. Suspension and Data Deletion
  • 7.1 – Suspension: Immediate for non-payment, spam, technical abuse, or offensive/harassing behavior towards Xlogic personnel. The fee remains due during the suspension.

  • 7.2 – Retention: Data is retained for 10 days (Hosting) or 3 days (VPS/Dedicated) after expiration, then permanently deleted without possibility of recovery.

8. Complaints and Competent Court
  • 8.1 – Complaints: To be sent via email or fax within 7 days of the event. Response within 4 days.

  • 8.2 – Jurisdiction: The Court of Turin has exclusive jurisdiction. The contract is registered only in case of use.

  • 8.3 – Termination and Withdrawal: Xlogic may terminate the contract pursuant to art. 1456 of the Italian Civil Code. for non-compliance or to terminate if the relationship is no longer economically viable (10 days’ notice).
